Company is subscribing to utilize Impact’s hosted, web-based software called Partnership Cloud - Professional Edition (PC Pro). Company’s subscription includes The Engage component of PC Pro contains performance partnership program (“Program”) management tools enabling Company to track impressions, clicks, and conversions (“Events”). PC Pro includes: (a) reporting and analysis tools; (b) Company Account interface; (c) payment processing of compensation (including makegoods, bonuses and placement fees) to Company’s Partners based on the agreements between Company and the Partners (“Partner Contracts”); (d) tools to analyze and investigate Partners’ performance and their traffic; (e) tools for managing Partner compensation; (f) multiple file transfer capability (FTP, etc.); (g) Partner compensation forecasting and invoicing, and tax documentation compliance; and (h) email newsletter distribution to Company’s Partners.
